- taking part in drafting sessions of the securities documentation for the initial public offer with external advisors; - carrying out the corporate actions for canceling public status of the company; - carrying out anti-sanctions compliance procedures at shareholders and counterparties requests; - convocation of general meetings, board of directors and other management bodies; - drafting and implementation of bylaws (regulation of the committees of the board of the directors, dividend policy, anti – corruption policy, anti – sanction policy) both internally or with external advisors; - conducting complex due diligence for the investments banks for pre-IPO and IPO financing; - implementation of mandatory public disclosure.

Responsibilities: 

- Legal support of group companies including both residents and non-residents, providing legal opinions; 

- Communication and negotiation with external parties (notaries, federal tax service, federal antimonopoly service, federal service for state registration, cadastre and cartography, federal agency for water resources, custodians, registrars, national settlements depository, external consultants, service providers and auditors); 

- Carrying out share-purchase agreements, arranging dividend payments, registration of companies, amending and drafting articles of association, increase of share capital, convocation of (annual) general meetings of shareholders, implementation of bylaws; - Conducting complex due diligence of the assets when acquiring 100 % of the participatory interest of limited liability company, structuring the deal.

Liaising with Federal antimonopoly service in order to get the prior consent for the economic concentration transactions (purchase of the participatory interest, delegation of the powers of the sole executive body to the management company) 

- Providing legal opinions on employment law issues, currency control issues, tax law; - Drafting and amending lease, carriage of goods, provision of services, storage agreements; 

- Drafting and negotiating security documentation for credit agreements (pledge of shares/participatory interests, mortgage agreements, guarantees); 

- Keeping and updating corporate and contract registers; 

- Legal translation and proofreading of the documents.
